Marx Toys Buys Software Company

SEBRING, Ohio -- July 31, 2003 -- Marx Toys And Entertainment Corp. acquired AZTOR Corp., a revolutionary software designer, whom will develop a new line of products for Marx in the media and e-commerce sector.

AZTOR's SkyLink and CloudStor(TM) software is being utilized by the FAA and may be a potential replacement upgrade for flight recorders AKA "black boxes". SkyLink and the Airborne Storage Network (SAN), offers on-flight streaming video storage archiving up to 60 days and has been successfully tested on 18 flights.

"Multiple Fortune 100 companies will greatly benefit from installing this software," stated AZTOR's CEO Simon Fridmann. Mr. Fridmann also added, "The US Department of Defense, the Pentagon, the German Antiterrorist Intelligence in Frankfurt and Interpol are just a few installations presently using our software today."

The software, which has endless applications, will be used for such things as disaster recovery, fighting terrorism, satellite imagery, streaming media, e-commerce and of course, Marx's revolutionary new toy lines.

"We added a major piece of the puzzle today by adding AZTOR," stated Marx CEO, Steve Wise, "We plan on forming a separate subsidiary for AZTOR, yet integrate its highly coveted technology into our new toy line."

The software has been widely accepted globally, especially in the defense and aviation sectors due to its inability to lose data. In disaster recovery situations, the software continues to store data thru mirroring the information to multiple units. This allows one to retrieve lost time and data in seconds rather than days or weeks with storage driven software made by companies such as EMC, IBM and HP.
